Our client, a global household name in the restaurant industry, is seeking a Privacy and Contracts Counsel to support their technology, marketing, commercial contracting, and privacy program goals on a long-term contract basis. In this role, you will be responsible for reviewing and negotiating contracts on behalf of various teams including marketing, SaaS/IT, and operations as well as the accompanying privacy provisions. Candidates must be a licensed attorney, with some experience as a transactional attorney including experience negotiating technology and marketing contracts, along with expertise in privacy-related contract terms. Candidates should be local to Ohio for this long-term contract, and comfortable going into the office roughly once per week.
RESPONSIBILITIES:
- Drafts, reviews, and negotiates master services, master SAAS, software license, website hosting, data sharing, other IT and general commercial agreements, and, where applicable, the privacy and information security terms applicable to the underlying agreement
- Drafts, reviews, and where applicable negotiates, marketing and demand generation service agreements, training and event agreements, commercial email campaigns and surveys, contest and sweepstakes rules, influencer agreements, participation releases, and sponsorship agreements
- Counsels business teams on legal issues relating to the development and provision of managed cloud, IT security, marketing /AdTech, and consulting services
- Works with internal stakeholders to gain an understanding of the product or service the business would like to purchase and determines any impacts to existing systems or processes already in place
- Helps to draft and maintain Chipotle’s contract templates and playbooks
- Performs other duties and projects as assigned
- Strong relationship-building and collaboration skills and the ability to effectively influence, negotiate and communicate with internal and external parties
- Proven ability to successfully multi-task, remain responsive and agile to changes in business priorities, and to deliver pragmatic, risk-based recommendations to the business, including proactively identifying recurring issues and developing recommendations
- Demonstrated ability to work and manage time spent on projects independently and with little supervision while performing duties
- Expert problem-solving skills with an ability to resolve legal and business issues effectively
- JD and be a member of at least one state bar in good standing
- Some experience as a transactional attorney
- Some experience as a transactional attorney with extensive experience negotiating technology and marketing / AdTech contracts, with in-house experience as an attorney
- Experience negotiating privacy related contract terms (DPAs, information security terms, SCCs, etc) as necessary to ensure the collection, use, and sharing of personal data in accordance with applicable regulatory requirements
